The Triptales Pvt. Ltd. (the Company) has established the following Policies, Terms and Conditions to protect the rights and dignity of its distributors while regulating business conduct. As a responsible and ethical distributor of Triptales, it is imperative that you understand and comply with the Company's Policies/Rules and Regulations. Any violation of these policies may result in termination of your distributorship. The Company reserves the right to modify its Policies, Rules and Regulations without notice or explanation. It is your responsibility to regularly visit the Company's website to stay informed about any updates to these policies, rules and regulations.

1. Eligibility to Become a Distributor

A. Eligibility for Individual Distributors:

  • a. Individuals who are 18 years old and above are eligible to apply as distributors for the Company.
  • b. The Company retains absolute discretion in deciding whether to accept or reject an application.
  • c. The distributor is not considered an agent, representative, or employee of the Company. The relationship between the distributor and the Company is on a principal-to-principal basis.
  • d. All applications must be sponsored by an existing distributor.
  • e. For the purposes of the Business, a husband and wife are considered a single unit.
  • f. The son or unmarried daughter of a distributor may join the Business with their own independent ID if the line of sponsorship falls under their family ID. Similarly, any family member may join under their son or unmarried daughter.

B. Registration for Legal Entities (HUF, Partnership Firms, LLP, Company, Society, and Trust)

  • a. Legal entities can register with the Company under their respective entity names.
  • b. The entity should submit a copy of its constitution, deed, articles of association, along with the applicable certificate of institution/incorporation and PAN card. In case of an HUF, only a PAN card copy is required.
  • c. The entity's liability and entitlement are subject to the law of the land, and the Company will make bonus payments in the entity's name.
  • d. Any changes in the entity's constitution must be notified to the Company, and a fresh application form along with the updated constitution should be submitted. The Company reserves the right to refuse registration of such new/fresh composition or constitution.
  • e. The Company will communicate only with an authorized person/official of the entity, and the entity must provide written intimation to the Company in advance.
  • f. If the entity is dissolved/wound up/declared insolvent, the Company will release bonus entitlement/arrears to the successor entity upon submission of acceptable proof. Claims in this regard will not be entertained after 90 days from the date of dissolution/winding up or declaration of insolvency.

2. Bonus Payment

  • a. The Company computes bonus for all registered distributors once a month based on their business performance in the relevant month. Payouts are issued by the Company in accordance with its policy.
  • b. Distributors must verify the accuracy of the computation of their monthly payout upon receipt. Any queries regarding the payout should be raised within 14 days of its issuance by the Company. In the absence of such queries, the figures mentioned in the statement will be considered final and binding.
  • c. Distributors are required to provide their address and bank details to the Company, and inform the Company of any changes to this information in accordance with Company guidelines.
  • d. To receive their bonus, distributors must provide their bank details to the Company. Failure to provide bank details may result in the Company withholding the bonus amount.

3. Procedures for Dealing with instances of Violation

Triptales Pvt. Ltd. offers guidance and advice on how to handle situations involving policy breaches and violations of its rules and regulations. The Company will also take necessary action against the involved distributor(s). The following procedure must be followed in case of any violation:

  • a. Any complaint regarding the violation of Company policies, rules, and regulations must be immediately lodged in writing, providing detailed information about the alleged violation. The complainant must also inform their up line about the complaint.
  • b. Upon receiving the complaint, the Company shall promptly notify the distributor involved, requesting a swift response and an opportunity to explain their case. The Company may initiate appropriate action suo motu.
  • c. In cases of inadequate information, the Company may request more details from either party.
  • d. If the Company determines that the only way to restore normalcy is to suspend or terminate the distributorship, it shall notify the distributor concerned in writing. The letter shall be posted via registered mail/courier to the distributor's last known address in the Company's database, and the postmark shall serve as proof of receipt. The Company reserves the right to take necessary action against the terminated distributor, including seeking compensation, recovery, damages, and legal costs incurred, if any. However, the Company may modify or amend any part of this decision as deemed necessary.

4. Renewal of Distributorship

  • a. The Company does not charge any renewal fee. Distributorship is discontinued if the distributor resigns and if the resignation is accepted by the Company. The distributorship is terminated by the Company if the distributor does not conduct any Business with the Company for more than two years or for any violations of Company policies.
  • b. In the above cases the distributor will be required to put forth his/her claims within one month of the date of the above happenings, thereafter no claim will be entertained. The claims will be settled as per Company's Policy.
  • c. The limitation period of claiming any amount due to the distributor by Triptales shall be three years. No claims after a period of three years from the due date shall be entertained by Triptales.

5. KYC

An individual or entity must complete the KYC (Know Your Customer) formalities and submit a Distributor Application + Agreement Form to be assigned an Applicant Number by the Company. The Applicant Number will be valid for 35 days, during which the Applicant must carry out at least one transaction to confirm their status as a distributor. The KYC documents accepted by the Company include Aadhar Card, Driving License, Voter ID Card, Passport, Ration Card, or any other identity document issued by a State or Central Government, which can be verified.

6. Submission of Distributor Application Form

Provided that Clause 5 is complied with: a. If a potential distributor submits a hard copy of the Distributor Application Form (DAF), they will only be authorized to conduct business and build a network after completing the Know Your Customer (KYC) process and physically submitting the DAF at any of the Company's Centers. This can be done only after placing an order. b. If the potential distributor fills the DAF online and sends a scanned copy of the signed DAF along with KYC documents to the Company, they can only begin conducting business with the Company after placing an order. However, if the distributor fails to submit a copy of the DAF with signatures (to be verified with Passport/Driving License/PAN) within 60 days of joining online, the distributor’s ID will become invalid.

7. Representations Made by Distributors

  • a. Distributors must not make exaggerated or false claims regarding the benefits of the Company's products and services.
  • b. Distributors should be aware and communicate that earning opportunities are solely based on hard work, dedication, and sustained efforts.
  • c. Distributors must not make claims beyond what is stated in the Company's plans and literature regarding product quality and earnings. The Company reserves the right to take any necessary action, including seeking damages, if a distributor's actions or inactions cause harm or loss to the Company due to misrepresentations or false statements.

8. Labeling, Packaging and Pricing

The Company's product description, labelling, pricing, and packaging are final and cannot be altered by any distributor. Distributors are prohibited from relabelling, repackaging, or changing the product description or selling the products loose or at a price that is not fixed by the Company. Any violations of this rule by distributors will be investigated, and appropriate action will be taken against them.

9. Cross Sponsoring / Multiple IDs

The Company strictly prohibits any form of Cross Sponsoring of distributorship. Cross Sponsoring is defined as follows: a. Recruiting an existing distributor from another group. b. Recruiting the spouse of an existing distributor or vice versa. c. Registering under another sponsor while their previous distributorship is still valid. d. Allowing anyone else or a relative to use their distributorship to conduct business. e. If an unmarried daughter or son joins the business with their own ID, but their line of sponsorship is not under their family* ID, such cases will be treated as Cross Sponsoring, and the ID taken by the son or daughter will be terminated.

Same will apply for any of the family members not joining under their son/ unmarried daughter's line of sponsorship.

In the event of Cross Sponsoring or in the event of a distributor using a second or multiple IDs, the following procedure shall be followed:

  • (i) Distributors who engage in any activity within a network within six months of resigning (also known as the inactivity rule or period) will be in violation of cross sponsoring. If they promote any close relative or acquaintance, the relative or acquaintance's ID will be treated as a second ID and terminated.
  • (ii) If a distributor is found promoting a network in another line of sponsorship, the Company will take appropriate action against that distributor. The ID(s) for whom the distributor is doing activities will be terminated, and the network will be shifted once the other ID(s) for which the distributor has been doing promotion/activities are identified.
  • (iii) If the Company receives a complaint within six months of cross sponsoring, the second/later IDs of the distributor will be terminated, and the network developed under the second/later IDs will be shifted under the first ID, or it may remain under the terminated ID as per the management's decision.
  • (iv) If a complaint regarding cross sponsoring is filed within six months, but the ID(s) are not identified within the same period, the complainant must submit the details of the ID(s) within three months of filing the complaint. The Company will take action as per clause (iii) after receiving the details of the other ID(s).
  • (v) Complaints received after more than six months of a distributor taking other ID(s) will not be entertained. On receipt of such complaints, the Company will terminate one of the IDs of the distributor, whichever may be deemed fit, and the network will remain with the active ID.
  • (vi) If any distributor is found taking different IDs, the Company will take strict action against the distributor, which may also lead to the termination of all IDs as and when discovered.
  • (vii) The Company will terminate the distributorship and withhold bonus payments of any distributor found engaging in cross sponsoring of any existing distributor(s). In addition, if the distributor is running any SUPER STORE/MY STORE, it will also be closed down by the Company.

If the Company finds that the registration of a distributorship/second ID was done through unethical means or without the distributor's consent/knowledge, or by submitting illegible/invalid documents, the Company will terminate the ID(s) that the management deems fit. The network of the terminated ID(s) will move up to the next higher distributor, or it will be shifted under the ID that is not terminated. Additionally, the distributor who initiated the activities mentioned above will be subject to disciplinary action by the Company, which may include suspension/termination/withholding bonus payments and/or imposing a fine on the distributor.

The Company's decision in these cases will be final.

10. Place Order

To maintain their distributor status, it is necessary for the distributor to place an order (with PV, excluding orders on Triptales Best Deals) within 35 days of joining. Failure to place an order within this time frame will result in the distributor's application being rejected by the Company and the ID will be considered invalid.

11. Inactive Distributor

If a distributor fails to place an order for nine consecutive months, regardless of their level in the company, they will be considered an "Inactive Distributor." The Company reserves the right to take any necessary action, including termination of their distributorship. Once the inactive period is over, the distributor may join under any existing distributor, but their previous ID will be terminated. If a distributor takes a second ID for themselves or their "Family" after being inactive for nine months, their first ID will be considered invalid.

12. Expiry/Cancellation/Resignation/Succession of Distributorship

  • (a)
    1. (i) Any distributor, up to the Director level, has the option to resign from their distributorship by submitting an application and the necessary documents. Once the Company acknowledges the receipt of such communication, it constitutes resignation. If a distributor resigns or their distributorship is cancelled or terminated, they may reapply for distributorship only after a period of six months (cooling period) from the date of resignation/cancellation of their last distributorship. However, if the distributor appears in any form of meetings, NDO, etc. within six months of resigning, it will render their resignation nullified due to violation of the inactivity rule. The distributor's cooling-off period of six months will be recounted from the date of the second ID's termination.
    2. (ii) A Director or above distributor, after resigning, can apply to the Company for a fresh distributorship only after an additional cooling-off period of two years (a total period of two years and six months). The Company may grant the fresh distributorship after reviewing the application. In such cases, the person cannot claim ownership over any downlines/business they had before the reapplication for distributorship.
  • (b) If a distributor resigns due to unforeseen circumstances and the Company is satisfied, they may transfer their distributorship to their blood relative only (proper proof and documentation required).
  • (c) If a distributor passes away or becomes incapacitated, their distributorship will expire. However, if a nominee expresses interest in succeeding the distributorship within 3 months of the distributor's death or incapacitation, the Company may allow the nominee to take over. If the nominee does not come forward within 3 months, a successor may take over by submitting appropriate documentation and expressing interest within 6 months of the distributor's death or incapacitation. After 6 months, the Company will not entertain any requests to take over the distributorship.
  • (d) The Company reserves the right to cancel, terminate, declare as unclaimed, or suspend distributorship for reasons specified in the Company's Policies, Rules, and Regulations.

13. Marriage

  • (a) The Company considers husband and wife as a single unit for the purpose of distributorship.
  • (b) In the case where two independent distributors who are married to each other, upon marriage, both of them are considered to have relinquished their distributorship. The distributors who are married to each other must notify the Company of their marriage separately within 30 days of their marriage. One of them should resign within 30 days from the date of marriage, failing which the distributorship of both distributors will be cancelled. The original downline structure of the distributor who resigns for reasons of marriage will remain unchanged. However, the couple may form a "partnership firm" according to the Company's prescribed model "deed of partnership" within 30 days of their marriage to maintain their relationship with the Company and conduct Triptales business. This partnership will replace the distributorship of the distributor who does not resign, and the structure will remain unchanged.
  • (c) If the distributors who are married to each other are given a partnership, they must have a joint bank account and inform the Company of its particulars within 60 days of their marriage. The Company will credit payouts/bonuses earned by the partnership to this account. If the account is not opened, no bonus will be paid out by the Company, and the partnership firm will have no lien on the bonus earned for the period. However, this sub-rule will not be applicable to distributor couples who are both Star Directors and Car Fund Achievers, unless they want such an arrangement.
  • (d) If both distributors are Diamond Directors and Car Fund Achievers, then their individual distributorships may be retained at their original status. However, one of them may resign from distributorship/Diamond Directorship, and the couple may apply for a single distributorship through a "partnership" (with both of them as partners). This partnership will replace the distributorship of the distributor who resigns, and the structure will remain unchanged. In such cases, the original downline structure of the distributor who resigns for reasons of marriage will remain unchanged. Even in this case, both of them must separately notify the Company of their marriage within 30 days of their marriage.
  • (e) If such a couple does not form a "partnership firm" within 30 days of their marriage or either of them does not inform the Company of their marriage, the Company reserves the right to make appropriate changes in their downline/network and merge their businesses of two distributorships into one with conditions as deemed appropriate by the Company and/or cancel one or both distributorships at its discretion.

14. Separation

  • If a couple who has distributorship through a 'partnership firm' formed as stated above gets divorced, the benefits of distributorship and the distributorship itself shall be apportioned or transferred, as the case may be, in accordance with the 'deed of partnership.' The Company shall only cause changes in distributorship of the 'partnership firm' on completion of 90 days after receiving the 'decree of divorce' granted by a competent court. The distributorship of the partnership firm of the couple shall be suspended from the date of the commencement of divorce proceedings between the couple. During the pendency of divorce proceedings, the Company, in its discretion, may allow both parties to do Triptales business separately as newly appointed distributors without insisting upon a cooling period. After the court's judgment, the spouse in whose name the court has approved for distributorship to continue may continue as a distributor, and the partnership will stand dissolved. If the judgment is silent on the issue, the distributorship under the partnership will stand terminated.
  • If a married couple is a distributor and co-distributor, and one of them files a petition for divorce, the Company shall only consider the distributor as its principal distributor, and no rights shall accrue to the co-distributor until a decision is taken on the issue of succession of distributorship by an appropriate court, whether interim or final. However, this shall be subject to a final decision by the Company.

15. Waiver

  • (a)The Company's failure to exercise any rights stated in the Company Rules and Regulations or in the Distributor Application Agreement shall not constitute a waiver of the Company's rights to demand exact compliance.
  • (b) Any waiver by the Company can only be affected in writing by authorized personnel of the Company.

16. Prohibited Act

  • (a) A distributor shall not:
  • (b) Incur any liabilities or debt in the name or on behalf of the Company.
  • (c) Enter into, modify or alter any contract in the name of the Company.
  • (d) Engage itself or show interest directly/indirectly as an agent, servant, or licensee for the sale of any product/goods other than those of the Company, in any trade, business or profession in competition with the Company.

17. Glossary of terms

  • (a) PV: Point Value, determines the % level of achievement.
  • (b) SP: Self Repurchase
  • (c) PGPV: Personal Group Point Value is the business of your entire group.
  • (d) GPV: Group Point Value is the business generated by your entire group.
  • (e) CPV: Cumulative Point Value is the business accumulated by your group.
  • (f) *Family: Grandparents/parents/self.
